Taxation

Our tax practice group regularly advises privately held businesses such as closely held corporations, as well as limited liability companies, partnerships, and individuals on federal, state and local tax matters. The attorneys in our tax practice regularly work with our other attorneys in providing tax planning advice to assist in the day-to-day operations of a client’s business, as well as when necessary to assist in the purchase or sale of a business. In addition, our tax practice attorneys will then in turn assist the individuals who own the business entities with respect to their own individual income or estate tax planning needs. In this manner our firm provides a full tax practice service to the privately held businesses that we represent, as well as the individuals who own and operate these businesses.

Our tax practice group attorneys are regularly involved with:

• Partnerships and Limited Liability Company formation and planning
• S Corporation formation and planning
• Mergers and Acquisitions
• Sale and liquidation of business entities
• Recapitalizations
• Buy Sell Agreements
• Executive Compensation programs such as Restricted Stock, Phantom Stock or Stock Appreciation Rights
• Estate, Gift, and Generation Skipping Tax planning
• Life Insurance Planning
